1. Agreement to these terms
These Terms of Service govern your use of AgencyGenie, including the web application, the Client Portal, the Sales Team Portal, the Partner Portal and this website (together, the “Platform”). By creating an account or using the Platform, you agree to these Terms on behalf of yourself and the business you represent.
2. The service
AgencyGenie is a multi-tenant software-as-a-service platform for service agencies. It is sold as a Basic platform with optional add-on modules. Features described as “coming soon” or “on the roadmap” are not part of any subscription until they are released.
3. Accounts and eligibility
- You must provide accurate registration details and keep your login credentials secure.
- You must be authorized to bind the business that holds the account.
- Account administrators decide which staff, sales representatives, partners and clients can access the account, and what each of them can see.
- You are responsible for activity carried out under your account.
4. Subscriptions and billing
- Subscriptions are billed monthly in advance in US dollars: the Basic platform plus any add-on modules you activate.
- Modules added during a billing period are charged from the date they are activated.
- Prices may change with at least 30 days’ notice before your next billing period.
- If a payment fails, we will notify you. Accounts that remain unpaid after notice may be suspended until payment is made.
- Taxes are charged where required by law.
Cancellation and refunds are covered in our Refund & Cancellation Policy.
5. Payments you collect
Card payments from your clients are processed by Stripe through your own connected Stripe account. Stripe’s terms apply to those payments, and Stripe’s fees are charged to your Stripe account. AgencyGenie records payments against your clients and statements of work but does not hold, receive or transmit your funds, and is not a party to the contract between you and your clients.
6. Your data
You own the data you and your users put into the Platform, including clients, catalogs, proposals, files and communications (“Agency Data”). You grant us a limited license to host, process and transmit Agency Data only as needed to provide, secure and support the Platform. We do not sell Agency Data.
7. Acceptable use
You may not use the Platform to:
- break any law, including privacy, consumer protection, telemarketing and anti-spam laws;
- send unsolicited bulk messages or make calls without the consent the law requires;
- access another tenant’s data or test the Platform’s security without written permission;
- reverse-engineer, copy or resell the Platform without authorization;
- upload malicious code or interfere with the Platform’s operation.
8. Email, chat and calling features
The Platform can send email, run website chat, place and receive browser calls, and record and transcribe calls on your behalf. You are responsible for using these features lawfully, including obtaining any consent required before recording a call, honoring opt-out requests, and following federal and state rules on calling and messaging. Where the Platform offers a consent prompt for recorded calls, you must not disable it where the law requires consent.
9. Intellectual property
We own the Platform, its software and its branding. You keep ownership of your brand, your content and your Agency Data. Feedback you give us may be used to improve the Platform without obligation to you.
10. Third-party services
Some features connect to third-party services, such as Stripe, email providers and website hosting. Your use of those services is governed by their own terms, and we are not responsible for their availability or conduct.
11. Service availability
We work to keep the Platform available and reliable, but we do not guarantee uninterrupted access. Planned maintenance is announced in advance where practical.
12. Disclaimers and limitation of liability
The Platform is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties, and we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Platform is limited to the amount you paid us in the twelve months before the claim arose.
13. Suspension and termination
We may suspend or end access for material breach of these Terms, non-payment after notice, or where the law requires it. You may cancel at any time. After cancellation or termination, you can export your Agency Data for 30 days, after which it is deleted as described in our Privacy Policy.
14. Governing law
These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-law rules. Any legal action relating to these Terms must be brought exclusively in the state or federal courts located in Michigan.
15. Changes to these Terms
We may update these Terms. We will tell account administrators about material changes before they take effect. Continued use of the Platform after that date means you accept the updated Terms.
